Assistant Manager/ Manager – Legal

Job Description

  • Drafting holding company’s announcements, circulars, news releases (including working with other internal and external stakeholders) and releasing them on SGXnet (start to end) or on the Bursa Securities portal.
  • Organising holding company’s general meetings and board meetings with the company secretary.
  • Drafting board resolutions and working with company secretaries on company secretarial matters, statutory filings, and constitutional documents of Group entities.
  • Managing the production of holding company’s annual reports, sustainability reports, and circulars.
  • Preparing or reviewing documentations for corporate exercises (e.g. placements, acquisitions, disposals, NDAs, shareholders agreements), including documents in support (supplemental agreements, completion checklists).
  • Monitoring compliance of the Group’s Legal Policy.
  • Advising the holding company’s Board of Directors and Management on compliance of the SGX Catalist listing rules and corporate governance matters.
  • Communicating and consulting with the Continuing Sponsor on holding company’s continuing listing obligations.
  • Drafting and reviewing contracts and other day-to-day legal documents.
  • Conducting legal research and desktop due diligence on potential business partners and vendors.
  • Attending to meetings and recording minutes of meetings.
  • Managing and keeping up-to-date records of intellectual properties, licences, contracts and other information pertinent to the legal department.
  • Engaging, consulting, and liaising with relevant stakeholders of the Group (regulators, external advisors, contract parties, etc.).

Key Requirements

  • Minimum LLB (Hons) and admitted to Malaysian Bar as Advocates & Solicitor
  • Minimum 5-7 years of experience of both in-house and law firm practice experience is preferred.
  • Familiarity and experience in advising on compliance of the Singapore Exchange (SGX) listing rules (Catalist) or ACE Market of Bursa Securities and corporate governance matters. Other advantages include familiarity with capital markets transactions and corporate M&A.
  • Familiarity with legal due diligence processes
  • Excellent research skills in legal research with a quick turn around time
  • An excellent command of verbal and written English and drafting skills.
  • High resilience, adaptable and agility in a fast-paced and changing environment
  • Self-motivated, able to work independently and possess high degree of professionalism and integrity
  • Agreeable to project management and legal administrative tasks, monitoring completion and compliance procedures
